Terms and Conditions

These Terms and Conditions govern the use of the AI automation and custom chat bot services provided by Cloud Reach. By accessing or using our Services, you agree to be bound by these Terms. Please read these Terms carefully and consult with legal counsel if needed. If you do not agree to these Terms, please refrain from using our Services. 

The Services encompass the design, development, implementation, and support of AI automation and custom chat bot solutions tailored to the unique requirements of each client. Upon engaging our Services, both parties will enter into a detailed engagement agreement specifying project scope, deliverables, milestones, timelines, costs, and any additional terms relevant to the engagement.

All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, related to the Services and any deliverables produced during the engagement shall remain the sole property of the Agency, unless expressly agreed otherwise in writing. Clients grant the Agency a non-exclusive, royalty-free license to use and reproduce client-provided content solely for the purpose of fulfilling the engagement.

Payment terms, fees, and invoicing details will be clearly outlined in the engagement agreement. Services are subject to suspension or termination for non-payment.

Both parties agree to maintain strict confidentiality regarding any proprietary, sensitive, or confidential information exchanged during the course of the engagement. This includes but is not limited to technical specifications, business strategies, algorithms, and client data.

The Services are provided on an “as-is” and “as available” basis. The Agency does not warrant that the Services will be uninterrupted, error-free, or meet specific client requirements. Exclusion of no event shall the Agency be liable for any indirect, consequential, incidental, special, or punitive damages arising from or related to the Services, including but not limited to lost profits, data loss, or business interruption.

Either party may terminate the engagement upon written notice if the other party materially breaches these Terms, fails to comply with the engagement agreement, or for any other valid reason.

These Terms shall be governed by and construed in accordance with the laws of New York State Law. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in New York.

The Agency reserves the right to update or modify these Terms at any time. Updated versions will be posted with a revision date at the top of this document.

These Terms, along with the engagement agreement (if applicable), constitute the entire agreement between the parties and supersede all prior agreements, understandings, and communications, whether written or oral.
